Software investor Main Capital acquires Form-Solutions
Frankfurt a.M. — McDermott Will & Emery advised software investor Main Capital Partners on the acquisition of Form-Solutions GmbH by machgruppe. The machgruppe was formed in 2021 through the merger of MACH AG with DATA-PLAN Computer Consulting GmbH. MACH AG, an e‑government software and consulting company based in Lübeck, has been one of Main Capital’s portfolio companies since 2020.
Form-Solutions GmbH, based in Karlsruhe, Germany, has been helping German government agencies digitize their application processes for more than 20 years.
Main Capital Partners is a leading software investor in Benelux, DACH and Scandinavia with over €2.2 billion in assets under management (as of October 2021). Main has invested in more than 120 software companies to date.
The McDermott team led by partner Norman Wasse is particularly experienced with software and tech transactions and had already advised Main Capital on both the acquisition of MACH AG and its acquisition of DATA-PLAN Computer Consulting GmbH.
The McDermott team led by partner Dustin Schwerdtfeger advised Main Capital in parallel in connection with the acquisition financing.
