Oppenhoff advises BMV Group on acquisition of von den Hoff Group
Cologne — Oppenhoff advised the BMV Group on its realignment and acquisition of the von den Hoff Group. The von den Hoff companies will be taken over by a newly founded subsidiary, BMV Holding GmbH & Co. KG.
BMV Beteiligungs- und Besitzgesellschaft GmbH & Co. KG, headquartered in Hamburg, is an association of medium-sized specialist building materials trading companies. It maintains and establishes partnership alliances with national and regional suppliers. The shareholders of the BMV Group are active throughout Germany.
The von den Hoff Group operates specialty building materials stores with locations in Düren, Aachen, Erftstadt, Bonn and Sankt Augustin. It includes the roofing supplies Helmut von den Hoff GmbH & Co KG, H. von den Hoff GmbH & Co KG and J. Karl Vollmar GmbH & Co. In addition, a share in the aluminum and steel profile system special wholesaler HOBA Alu-Produkte Vertriebs GmbH belongs to the acquired group of companies.
By acquiring the companies, which had previously been family-owned, the BMV Group was able to obtain a co-shareholder from its own circle and thus strengthen the diversity in the medium-sized building materials trade.
“The transaction is a novelty in the German Mittelstand, as it is the first time that an alliance company acquires a member of its own. With this acquisition, Mittelstand is securing the diversity and continued existence of medium-sized builders’ merchants,” says Dr. Philipp Heinrichs, Junior Partner in the Corporate Law / M&A department at Oppenhoff.
The Oppenhoff team led by Dr. Philipp Heinrichs (Corporate/M&A) included Marvin Rochner, Julia Höyng (both Real Estate), Dr. Daniel Dohrn, Renée Cherelle Eckruth (both Antitrust), Marc Krischer and Hanjo Prondzinski (both Tax). The external advisor was Ulrich Waldschmidt (Dr. Gehre-Treuhand GmbH).
