
GÖRG Advises on the Structuring of the CODE Capital Venture Capital Fund
Berlin — GÖRG advised CODE Capital on the legal design and structuring of the independent early-stage fund. CODE Capital was founded by Stephan Schambach and Younes Ouaqasse. The fund is structured as an independent investment vehicle within the framework of the Berlin-based CODE University of Applied Sciences.
CODE Capital is aiming for a fund size of 10 million euros and focuses on investments in the early pre-seed phase. Initial investments range from 50,000 to 100,000 euros. As a first-check investor, the fund targets technology-oriented founders from the CODE University startup ecosystem who play a key role in shaping the technological foundation of their companies themselves. Key investment areas include, in particular, AI software, technical infrastructure, deep tech, and quantum-secure encryption.
An independent investment committee prepares the investment decisions. Brightpoint Capital Invest GmbH has been mandated to manage the fund. Prof. Dr. Julia Köhn, professor of entrepreneurship at CODE University as well as a serial entrepreneur and investor, manages the fund as general partner.
CODE University of Applied Sciences is a private university specializing in computer science, data science, and cybersecurity. It serves as the fund’s entrepreneurial hub and has an extensive network of students, alumni, and startup teams.
