Auto Thoma Sells to the AURELIUS Group with a Cross-Stake
Munich — Auto Thoma GmbH, headquartered in Burgau, has sold all of its shares to aribos group GmbH, a portfolio company of AURELIUS Wachstumskapital SE & Co. KG. — A team led by Marcel Greubel, Senior Counsel at HEUKING’s Munich office, provided comprehensive legal counsel to the shareholders of Auto Thoma GmbH in connection with the sale of all shares to aribos group GmbH. The advice also covered the re-investment by one of the sellers in the buyer group.
Auto Thoma GmbH is a family-owned business in Burgau, Bavaria, specializing in collision repair, automotive painting, and automotive technology. The target company will be integrated as the sixth acquisition into aribos group GmbH, headquartered in Hildesheim—a dynamically growing network of repair shops specializing in collision damage repairs, which currently employs more than 250 people across eight locations in Germany. With the acquisition of Auto Thoma GmbH, the aribos group is further expanding its position as one of the leading full-service providers of body and paint services in the German-speaking world.
As part of the transaction, Harry Thoma and TT-Beteiligungs GmbH sold their entire stakes in the target company. As part of the transaction, TT-Beteiligungs GmbH acquired a stake in the buyer group through a reverse investment; Timo Thoma will continue to serve as managing director of the target company and remain actively involved in its operations. The parties have agreed not to disclose the purchase price.
