Exit: Hannover Finanz sells Lacon Group to Incap
Munich/ Helsinki (Finland) — McDermott Will & Schulte has advised Hannover Finanz Group and the other shareholders on the sale of Lacon Group to the Finnish Incap Corporation. The closing of the transaction is subject to foreign direct investment approvals in Germany and Romania and is expected to take place in the first quarter of 2026.
The Lacon Group, headquartered in Karlsfeld, is a leading EMS provider with over 700 employees at several locations in Germany and Romania. The group develops, optimizes, manufactures and repairs electronic and electromechanical assemblies. Hannover Finanz acquired a majority stake in Lacon in 2019.
The family-run Hannover Finanz Group has been an equity partner for medium-sized companies in the DACH region since 1979. The investment portfolio currently comprises 35 companies with over 15,000 employees and sales of more than 4 billion euros.
Incap, headquartered in Helsinki, is a full-service provider in the field of electronics manufacturing. The company has subsidiaries in Finland, Estonia, India, Slovakia, the UK, the USA and Hong Kong and employs around 2,500 people. The acquisition is intended to accelerate Incap’s growth strategy by strengthening its position in the defense, railroad and medical technology sectors, in which the Lacon Group has renowned customers.
The McDermott team led by Holger Ebersberger last advised the Lacon Group on the acquisition of Montronic GmbH & Co. KG in 2024.
