Brockhaus Technologies sells bike leasing group to Decathlon
Frankfurt a. M. — Brockhaus Technologies AG has sold its approx. 52% stake in BLS Beteiligungs GmbH (“Bikeleasing”). The buyer is DECATHLON PULSE SAS, a wholly-owned subsidiary of the France-based global sports brand DECATHLON. The purchase agreement provides for a company valuation of Bikeleasing in the amount of EUR 525 million.
The purchase price for the shares in BLS Beteiligungs GmbH will be calculated on the closing date (expected in the course of H1 2026), taking into account the cash and cash equivalents, financial liabilities and net working capital of the Bikeleasing subgroup available on this date (closing accounts concept). Based on the consolidated figures of the Bikeleasing Group as at September 30, 2025, an example calculation results in a pro rata purchase price for the shares in BLS Beteiligungs GmbH attributable to Brockhaus Technologies of approximately EUR 240 million, although this may still vary based on future figures as at the closing date.
The closing of the transaction is still subject to the closing conditions, in particular the merger control clearances as well as the successful completion of the required owner control proceedings by DECATHLON and the approval of the Annual General Meeting of Brockhaus Technologies.
