The aim is not just to reward a broa\u00adder number of employees, but to give them a long-term share in the growth of the corpo\u00adrate value they have helped to create.<\/strong><\/p>\n<p>Parti\u00adci\u00adpa\u00adtion programs are desi\u00adgned to enable employees to feel like co-entre\u00adpre\u00adneurs and to reduce the prin\u00adci\u00adpal-agent conflict that other\u00adwise often exists. Over the years, it has been shown that compa\u00adnies that set up long-term employee parti\u00adci\u00adpa\u00adtion programs are less likely to face conflicts between manage\u00adment and employees and that employee turno\u00adver is lower in such companies.<\/p>\n<p><strong>How did it start in Germany?<\/strong><\/p>\n<p>SAP AG made a start in 1986 with the launch of a conver\u00adti\u00adble bond model that enab\u00adled all employees to parti\u00adci\u00adpate in the rapid growth of SAP\u2019s enter\u00adprise value. At that time, it was not yet possi\u00adble to issue naked opti\u00adons to employees, as was the case in the USA, which is why the detour via a conver\u00adti\u00adble bond was chosen.<\/p>\n<p>It was not until the reform of stock corpo\u00adra\u00adtion law in 1996, which also made the small stock corpo\u00adra\u00adtion accep\u00adta\u00adble for venture capi\u00adtal-finan\u00adced, often tech\u00adno\u00adlogy-based compa\u00adnies, that the Employee Stock Owner\u00adship Plan (ESOP) idea from Ameri\u00adcan Sili\u00adcon Valley was made more widely public in Germany. Legally, the frame\u00adwork condi\u00adti\u00adons were laid down in Sections 192 and 193 of the German Stock Corpo\u00adra\u00adtion Act (AktG), although the legis\u00adla\u00adtor obviously did not properly under\u00adstand the frame\u00adwork condi\u00adti\u00adons used in the USA and imple\u00admen\u00adted them only incom\u00adple\u00adtely. Thus, a two-year vest\u00ading period was provi\u00added for, instead of the three- to four-year vest\u00ading period custo\u00admary in U.S. compa\u00adnies. The criter\u00adion of setting a perfor\u00admance target was also intro\u00addu\u00adced, which made the usabi\u00adlity of German stock opti\u00adons unat\u00adtrac\u00adtive for non-German and in parti\u00adcu\u00adlar U.S. employees of German compa\u00adnies. As a result, they were no longer eligi\u00adble for the same tax bene\u00adfits as compa\u00adra\u00adble U.S. employers.<\/p>\n<p><strong>Various tax models<\/strong><\/p>\n<p>On the tax side, two models compe\u00adted in Germany in the late 1990s. The first is the final taxa\u00adtion model still in use today, under which the employee must pay tax at the time of exer\u00adcis\u00ading his opti\u00adons on the diffe\u00adrence between the purchase price he is requi\u00adred to pay (strike price) and the fair market value of the shares acqui\u00adred at the time the option is exer\u00adcised.
