The tran\u00adsac\u00adtion values IQM at a pre-money equity value of appro\u00adxi\u00adm\u00adately USD 1.8 billion. <\/p>\n

The tran\u00adsac\u00adtion will provide funding to acce\u00adle\u00adrate IQM\u2019s tech\u00adno\u00adlo\u00adgi\u00adcal and commer\u00adcial deve\u00adlo\u00adp\u00adment towards fault-tole\u00adrant quan\u00adtum compu\u00adting, further streng\u00adthening its posi\u00adtion as a leading quan\u00adtum compu\u00adter provider.<\/p>\n

IQM, which is head\u00adquar\u00adte\u00adred in Finland, is also conside\u00adring a dual listing wher\u00adeby IQM\u2019s ordi\u00adnary shares would be traded on the Helsinki Stock Exch\u00adange. This listing is expec\u00adted to take place after comple\u00adtion of this tran\u00adsac\u00adtion. \u2014 With a turno\u00adver of at least 35 million euros in 2025 and over 20 systems sold, IQM under\u00adlines its claim to be the market leader for full-stack quan\u00adtum systems at the IQM Quan\u00adtum Compu\u00adter IPO <\/strong>2026.<\/p>\n

IQM is a quan\u00adtum compu\u00adting company that deve\u00adlops full-stack, open archi\u00adtec\u00adture systems that can be deployed on-premise or utili\u00adzed via the cloud. Tran\u00adsac\u00adtion highlights
\n<\/strong>
\n Follo\u00adwing comple\u00adtion of the tran\u00adsac\u00adtion, IQM\u2019s cash on balance sheet at closing is expec\u00adted to be in excess of US$450 million (inclu\u00adding IQM\u2019s exis\u00adting cash), provi\u00adding scope for further broad econo\u00admic benefits:<\/p>\n

Appro\u00adxi\u00adm\u00adately $175 million of cash in RAAQ\u2019s escrow account (based on the current amount in escrow and assum\u00ading no redemptions);
\nAppro\u00adxi\u00adm\u00adately $134 million of proceeds from a PIPE finan\u00adcing at a price of $10.00 per share from leading new and exis\u00adting insti\u00adtu\u00adtio\u00adnal inves\u00adtors to be comple\u00adted concurr\u00adently with the busi\u00adness combi\u00adna\u00adtion, subject to satis\u00adfac\u00adtion of certain custo\u00admary closing conditions;<\/p>\n

Expec\u00adted proceeds of USD 24 million from the cash exer\u00adcise of outstan\u00adding IQM warrants prior to closing; Exis\u00adting cash on IQM\u2019s balance sheet of USD 172 million (unau\u00addi\u00adted at year-end 2025).
\nThe tran\u00adsac\u00adtion values IQM at a pre-money equity value of around USD 1.8 billion<\/strong>, reflec\u00adting its enorm\u00adous growth potential.
\n<\/strong><\/p>\n

The Boards of Direc\u00adtors of IQM and RAAQ have each unani\u00admously appro\u00adved the propo\u00adsed merger.
