Bietig\u00adheim-Bissin\u00adgen \u2014 D\u00fcrr AG has ente\u00adred into an agree\u00adment with a subsi\u00addiary of Stellex Capi\u00adtal Manage\u00adment LLC (Stellex) on the sale of its envi\u00adron\u00admen\u00adtal tech\u00adno\u00adlogy busi\u00adness with an enter\u00adprise value of \u20ac 385 million. This compri\u00adses the areas of exhaust air puri\u00adfi\u00adca\u00adtion tech\u00adno\u00adlogy and sound insu\u00adla\u00adtion systems and forms the Clean Tech\u00adno\u00adlogy Systems Envi\u00adron\u00admen\u00adtal<\/em> divi\u00adsion within the D\u00fcrr Group. With this sale, the mecha\u00adni\u00adcal and plant engi\u00adnee\u00adring company is comple\u00adting the simpli\u00adfi\u00adca\u00adtion of the Group struc\u00adture announ\u00adced a year ago and under\u00adli\u00adning its stra\u00adte\u00adgic focus on the auto\u00adma\u00adtion of produc\u00adtion proces\u00adses. At the same time, the Group is acqui\u00adring a stake of around 25% in Envi\u00adron\u00admen\u00adtal Technology. <\/p>\n

The enter\u00adprise value of the envi\u00adron\u00admen\u00adtal tech\u00adno\u00adlogy busi\u00adness is around \u20ac 385 million.<\/strong> After deduc\u00adting the costs for the acqui\u00adsi\u00adtion of the reverse take\u00adover and other tran\u00adsac\u00adtion-rela\u00adted costs, the D\u00fcrr Group expects net proceeds of around \u20ac 250 million. This is to be used to streng\u00adthen the Group by redu\u00adcing debt. The closing of the tran\u00adsac\u00adtion is subject to the usual appr\u00adoval requi\u00adre\u00adments and is expec\u00adted to take place in the fourth quar\u00adter of 2025. <\/p>\n

D\u00fcrr had announ\u00adced in mid-2024 that it was exami\u00adning stra\u00adte\u00adgic opti\u00adons for the envi\u00adron\u00admen\u00adtal tech\u00adno\u00adlogy busi\u00adness, inclu\u00adding a possi\u00adble sale. The sale that has now been agreed will enable the Group to achieve its goal of a leaner struc\u00adture with just three divi\u00adsi\u00adons instead of five. At the same time, the company is now focu\u00adsing consis\u00adt\u00adently on its core busi\u00adness with auto\u00adma\u00adted and sustainable produc\u00adtion tech\u00adno\u00adlo\u00adgies. D\u00fcrr had alre\u00adady sold the Danish filling tech\u00adno\u00adlogy company Agram\u00adkow in the previous year as part of the simpli\u00adfi\u00adca\u00adtion of the Group struc\u00adture. In addi\u00adtion, the busi\u00adness with the auto\u00admo\u00adtive indus\u00adtry was bund\u00adled in the new Auto\u00admo\u00adtive divi\u00adsion at the begin\u00adning of 2025. <\/p>\n

With its owner Stellex, the envi\u00adron\u00admen\u00adtal tech\u00adno\u00adlogy busi\u00adness is well posi\u00adtio\u00adned to expand its leading posi\u00adtion and has the resour\u00adces to support the expec\u00adted growth. In 2024, the envi\u00adron\u00admen\u00adtal tech\u00adno\u00adlogy busi\u00adness gene\u00adra\u00adted<\/strong> sales of \u20ac 407 million<\/strong> and employed around 1,300 people, inclu\u00adding around 450 in Germany. The head\u00adquar\u00adters are loca\u00adted in Bietig\u00adheim-Bissin\u00adgen, and the busi\u00adness is opera\u00adted at 16 loca\u00adti\u00adons in 12 count\u00adries worldwide. <\/p>\n

D\u00fcrr\u2019s envi\u00adron\u00admen\u00adtal tech\u00adno\u00adlogy systems are used in various end markets and sectors, for exam\u00adple in the chemi\u00adcal indus\u00adtry, auto\u00admo\u00adtive produc\u00adtion and odor removal.<\/p>\n
