Munich \u2014 H\u00f6rmann Digi\u00adtal Betei\u00adli\u00adgungs GmbH<\/strong>, a H\u00f6rmann KG company mana\u00adged by Thomas Martin and Chris\u00adtoph H\u00f6rmann, has acqui\u00adred a signi\u00adfi\u00adcant stake in the listed company ORBIS<\/strong> AG. In addi\u00adtion, H\u00f6rmann Digi\u00adtal Betei\u00adli\u00adgungs GmbH has acqui\u00adred the right to expand its share\u00adhol\u00adding in the future.<\/p>\n

In a first step, H\u00f6rmann Digi\u00adtal Betei\u00adli\u00adgungs GmbH acqui\u00adred a total of appro\u00adxi\u00adm\u00adately 23% of the shares of ORBIS AG from seve\u00adral share\u00adhol\u00adders and at the same time fully subscri\u00adbed to a cash capi\u00adtal increase of ORBIS AG, which was issued under exclu\u00adsion of share\u00adhol\u00adders\u2019 subscrip\u00adtion rights. This results in a total share\u00adhol\u00adding of around 28%. The H\u00f6rmann Group and ORBIS AG have also signed a coope\u00adra\u00adtion agree\u00adment for the expan\u00adsion of exis\u00adting busi\u00adness rela\u00adti\u00adonships in the field of digi\u00adtiza\u00adtion. \u2014 The share purcha\u00adses are curr\u00adently still subject to appr\u00adoval by the German and Austrian anti\u00adtrust authorities.<\/p>\n

Further\u00admore, H\u00f6rmann Digi\u00adtal Betei\u00adli\u00adgungs GmbH has obtai\u00adned the right from the curr\u00adently largest share\u00adhol\u00adder of ORBIS AG, GMV AG, to acquire the latter\u2019s remai\u00adning shares in ORBIS AG, around 15%, in the future, thus incre\u00adasing its share\u00adhol\u00adding to a total of 43%.<\/p>\n

In the course of the tran\u00adsac\u00adtion, H\u00f6rmann Digi\u00adtal Betei\u00adli\u00adgungs GmbH was advi\u00adsed by a specia\u00adli\u00adzed team of R\u00f6dl & Part\u00adner with regard to legal issues concer\u00adning the acqui\u00adsi\u00adtion of the share\u00adhol\u00addings and capi\u00adtal market obli\u00adga\u00adti\u00adons. Part\u00adner Dr. Oliver Schmitt (Munich) led the compre\u00adhen\u00adsive legal (purchase) contract draf\u00adting and nego\u00adtia\u00adtion support from the initial discus\u00adsions to the signing of the contract, assis\u00adted in the tran\u00adsac\u00adtion prepa\u00adra\u00adtion and coor\u00addi\u00adna\u00adtion and advi\u00adsed on all capi\u00adtal market law issues.<\/p>\n
