Hamburg \u2014 Allen & Overy LLP<\/strong> has advi\u00adsed Hambur\u00adger Gesell\u00adschaft f\u00fcr Verm\u00f6\u00adgens- und Betei\u00adli\u00adgungs\u00adma\u00adnage\u00adment (HGV)<\/strong>, the invest\u00adment holding company of the Free and Hansea\u00adtic City of Hamburg (FHH), on the acqui\u00adsi\u00adtion of the remai\u00adning shares in W\u00e4rme Hamburg GmbH from Vatten\u00adfall<\/strong>. Based on the agreed mini\u00admum purchase price of 950 million euros, HGV paid a purchase price of 625 million euros for the remai\u00adning 74.9 percent of the shares.<\/p>\n

The company opera\u00adtes the Hamburg district heating network as well as local gene\u00adra\u00adtion faci\u00adli\u00adties, e.g. the Wedel and Tief\u00adstack combi\u00adned heat and power plants. At the same time, the Wedel combi\u00adned heat and power plant had to be spun off from another company in a paral\u00adlel project and trans\u00adfer\u00adred to the target company. Until now, the FHH owned 25.1 percent of the district heating company. Although the acqui\u00adsi\u00adtion was made by exer\u00adcis\u00ading a purchase option nego\u00adtia\u00adted in imple\u00admen\u00adta\u00adtion of the \u201cOur Hamburg \u2014 Our Network\u201d refe\u00adren\u00addum, the tran\u00adsac\u00adtion ulti\u00adm\u00adately took more than a year to complete.<\/p>\n

The Allen & Overy team had alre\u00adady advi\u00adsed HGV in 2011 on the acqui\u00adsi\u00adtion of stra\u00adte\u00adgic stakes in the compa\u00adnies that operate the supply networks in Hamburg for elec\u00adtri\u00adcity, gas and district heating. In addi\u00adtion, Allen & Overy assis\u00adted HGV in the step-by-step imple\u00admen\u00adta\u00adtion of the full buyback of Hambur\u00adg\u2019s energy networks follo\u00adwing the adop\u00adtion of the refe\u00adren\u00addum. The current tran\u00adsac\u00adtion thus marks the conclu\u00adsion of a series of acqui\u00adsi\u00adti\u00adons in which FHH has alre\u00adady taken over Strom\u00adnetz Hamburg GmbH and the corre\u00adspon\u00adding service areas, inclu\u00adding meter\u00ading and support for trans\u00adport faci\u00adli\u00adties, from Vatten\u00adfall and Gasnetz Hamburg GmbH from E.ON.<\/p>\n

By buying back the energy infra\u00adstruc\u00adture, the Hamburg Senate is laying the foun\u00adda\u00adtion for a successful energy turn\u00adaround in Hamburg. The Hansea\u00adtic City aims to signi\u00adfi\u00adcantly reduce green\u00adhouse gas emis\u00adsi\u00adons. The tran\u00adsac\u00adtion is regarded as the final mile\u00adstone in the complete remu\u00adni\u00adci\u00adpa\u00adliza\u00adtion of Hambur\u00adg\u2019s energy supply.<\/p>\n
