Frank\u00adfurt am Main -Allen & Overy<\/strong> LLP has advi\u00adsed commu\u00adni\u00adca\u00adti\u00adons tech\u00adno\u00adlogy specia\u00adlist KATHREIN<\/strong> SE on the sale of its mobile commu\u00adni\u00adca\u00adti\u00adons antenna and filter busi\u00adness to Swedish tele\u00adcom\u00admu\u00adni\u00adca\u00adti\u00adons equip\u00adment supplier Erics\u00adson. The closing of the shell purchase agree\u00adment alre\u00adady concluded in Febru\u00adary, on the basis of which indi\u00advi\u00addual asset deals in a number of juris\u00addic\u00adtions were linked, took place as plan\u00adned on Octo\u00adber 1, 2019.<\/p>\n

The sale is an essen\u00adtial part of a long-term down\u00adsi\u00adzing of the KATHREIN Group. After beco\u00adming inde\u00adpen\u00addent, the remai\u00adning subsi\u00addia\u00adries will operate under the names KATHREIN Solu\u00adti\u00adons GmbH, KATHREIN Sach\u00adsen GmbH, KATHREIN Digi\u00adtal Systems GmbH and KATHREIN Broad\u00adcast GmbH. Thus, the restruc\u00adtu\u00adring of the KATHREIN Group is largely completed.<\/p>\n

Follo\u00adwing the announce\u00adment of the sale of the mobile antenna and filter busi\u00adness from KATHREIN SE to Erics\u00adson on Febru\u00adary 25, 2019, the sale was offi\u00adci\u00adally comple\u00adted with the comple\u00adtion of all regu\u00adla\u00adtory appr\u00adoval proce\u00addu\u00adres on Septem\u00adber 30, 2019. Erics\u00adson thus expands its radio system port\u00adfo\u00adlio with a wide range of advan\u00adced antenna solu\u00adti\u00adons. Nearly 3,500 KATHREIN employees world\u00adwide will trans\u00adfer to Ericsson.<\/p>\n

The Allen & Overy team, led by restruc\u00adtu\u00adring part\u00adner Peter Hoegen, advi\u00adsed in parti\u00adcu\u00adlar on the amend\u00adment of the finan\u00adcing docu\u00admen\u00adta\u00adtion with a syndi\u00adcate of banks in Germany and a bila\u00adte\u00adral bank in Mexico requi\u00adred due to the closing of the tran\u00adsac\u00adtion. Another focus of acti\u00advity was the nego\u00adtia\u00adtion and conclu\u00adsion of various colla\u00adte\u00adral release agree\u00adments in Germany, Mexico, Roma\u00adnia and the USA.
\nThe Allen & Overy team included part\u00adner Peter Hoegen (lead), senior asso\u00adciate Dr. Chris\u00adto\u00adpher Kranz, asso\u00adcia\u00adtes Moritz Probst, Evan\u00adge\u00adlina Wiegand and Simon Kirsch\u00adner (all banking and finance\/restructuring, Frankfurt).
