Frank\u00adfurt a. M. \/ Munich \u2014 The US private equity inves\u00adtor KKR<\/strong> is taking over Tele M\u00fcnchen Gruppe (TMG)<\/strong>. Accor\u00addin\u00adgly, the US finan\u00adcial inves\u00adtor is buying TMG from the well-known media entre\u00adpre\u00adneur Herbert Kloi\u00adber<\/strong>, who owned the company for 42 years. Follo\u00adwing appr\u00adoval by the anti\u00adtrust autho\u00adri\u00adties, the deal is expec\u00adted to be comple\u00adted in April. TMG was advi\u00adsed on this tran\u00adsac\u00adtion by Wirsing Hass Zoller (Legal), and Klee\u00adberg & Part\u00adner (Tax).<\/p>\n

KKR made the invest\u00adment from Euro\u00adpean Fund IV. A KKR spokes\u00adman did not want to comment on the purchase price or other tran\u00adsac\u00adtion details in response to a FINANCE inquiry. Accor\u00adding to the company\u2019s own figu\u00adres, TMG most recently gene\u00adra\u00adted total opera\u00adting perfor\u00admance of 520 million euros<\/strong> with around 1,800 employees. Foun\u00added in 1977, the Group produ\u00adces films, trades in broad\u00adcas\u00adting licen\u00adses and holds stakes in TV stati\u00adons RTL II and Tele 5, among others.<\/p>\n

There will be chan\u00adges in the manage\u00adment of TMG as a result of the take\u00adover by KKR. Thus, the new owner makes the former CEO of Constan\u00adtin Medien, Fred Kogel, the new Mana\u00adging Direc\u00adtor<\/strong>. Accor\u00adding to a press release from TMG, howe\u00adver, Kloi\u00adber junior will also remain the mana\u00adging direc\u00adtor of the \u201ccore compa\u00adnies\u201d. Herbert G. Kloi\u00adber is to serve as a member of an advi\u00adsory board, and will also remain a member of the Super\u00advi\u00adsory Board of Odeon Film AG until the upco\u00adming Annual Gene\u00adral Meeting. As always with such deals, the sale still has to be appro\u00adved by the autho\u00adri\u00adties. The two parties did not provide any infor\u00adma\u00adtion on the purchase price.<\/p>\n

He headed Tele M\u00fcnchen Gruppe for 42 years, and now Herbert G. Kloi\u00adber is selling the group to finan\u00adcial inves\u00adtor KKR. This move also has impli\u00adca\u00adti\u00adons for some German broad\u00adcas\u00adters and produc\u00adtion compa\u00adnies. For exam\u00adple, TMG holds 31.5 percent of RTL II toge\u00adther with Disney, while Tele 5 is wholly owned by the Group. TMG also holds a majo\u00adrity stake in Odeon Film AG, while other subsi\u00addia\u00adries such as Concorde Film\u00adver\u00adleih GmbH, Concorde Home Enter\u00adtain\u00adment GmbH, Clas\u00adart Film- und Fern\u00adseh\u00adpro\u00adduk\u00adti\u00adons GmbH and Tele M\u00fcnchen Inter\u00adna\u00adtio\u00adnal GmbH now also have a new owner.<\/p>\n

KKR now wants to make Tele M\u00fcnchen Gruppe the leading inde\u00adpen\u00addent plat\u00adform for audio\u00advi\u00adsual content in Germany and a central point of cont\u00adact for crea\u00adtive talent. The German market offers an \u201cattrac\u00adtive envi\u00adron\u00adment to further deve\u00adlop TMG as an inde\u00adpen\u00addent, market-leading plat\u00adform and to repo\u00adsi\u00adtion it in times of digi\u00adtal disrup\u00adtion,\u201d the private equity firm says. As consu\u00admer demand for high-quality, local but also inter\u00adna\u00adtio\u00adnal content grows, so does the need for \u201ca large inde\u00adpen\u00addent German content platform.\u201d<\/p>\n

\u201cTMG is an attrac\u00adtive middle-market asset and defi\u00adni\u00adtely fits KKR\u2019s middle-market stra\u00adtegy,\u201d the spokesper\u00adson said. About a year ago, KKR<\/strong> also opened an office in Germany with Chris\u00adtian Ollig (photo)<\/strong> as head. The deal was execu\u00adted jointly from the London and Frank\u00adfurt offices, accor\u00adding to the spokesper\u00adson.
