In Septem\u00adber, the <strong>Capi\u00adtal Market SME Inte\u00adrest Group<\/strong> submit\u00adted a peti\u00adtion to amend the pros\u00adpec\u00adtus law to the Fede\u00adral Minis\u00adtry of Finance (BMF). 100 capi\u00adtal market-orien\u00adted compa\u00adnies supported the peti\u00adtion. The BMF has now reac\u00adted at short notice to the criti\u00adcism from SMEs and presen\u00adted a draft bill for a new law. Main content: Pros\u00adpec\u00adtus-free rights issues of up to EUR 8 million will be possible.<\/p>\n<p>The Act on the Exer\u00adcise of Opti\u00adons under the EU Pros\u00adpec\u00adtus Regu\u00adla\u00adtion and on the Adapt\u00ada\u00adtion of Other Finan\u00adcial Market Laws, which came into force on July 21, 2018 and, among other things, provi\u00addes for pros\u00adpec\u00adtus-free public offe\u00adrings of up to EUR 8 million, preven\u00adted pros\u00adpec\u00adtus-free rights capi\u00adtal increa\u00adses by regu\u00adla\u00adting indi\u00advi\u00addual invest\u00adment thres\u00adholds for non-quali\u00adfied inves\u00adtors. The indi\u00advi\u00addual invest\u00adment thres\u00adholds were not aligned with the subscrip\u00adtion rights of exis\u00adting share\u00adhol\u00adders in the event of capi\u00adtal increa\u00adses under the German Stock Corpo\u00adra\u00adtion Act (AktG). The now presen\u00adted draft bill of a law on the further imple\u00admen\u00adta\u00adtion of the EU Pros\u00adpec\u00adtus Regu\u00adla\u00adtion and on the amend\u00adment of finan\u00adcial market laws of Novem\u00adber 12, 2018 provi\u00addes that the indi\u00advi\u00addual invest\u00adment thres\u00adholds do not apply to secu\u00adri\u00adties offe\u00adred to exis\u00adting share\u00adhol\u00adders in the context of a rights issue.<\/p>\n<p>\u201cIt is a great success for our still young asso\u00adcia\u00adtion that we succee\u00added in chan\u00adging the law and uniting the inte\u00adrests of the capi\u00adtal market-orien\u00adted SMEs. There has never been such a peti\u00adtion and an asso\u00adcia\u00adtion of capi\u00adtal market-orien\u00adted SMEs in this form before.
