The finan\u00adcial inves\u00adtor made the invest\u00adment from its first smal\u00adler-midcap fund; in the mean\u00adtime, Triton is alre\u00adady inves\u00adt\u00ading from its second midmar\u00adket fund.<\/p>\n
The parties have agreed not to disc\u00adlose the purchase price or further details of the contract. DBAG and DBAG Fund VII conti\u00adnue to see good deve\u00adlo\u00adp\u00adment oppor\u00adtu\u00adni\u00adties for blikk and are ther\u00ade\u00adfore inves\u00adt\u00ading a signi\u00adfi\u00adcant portion of the return flow in a re-invest\u00adment of up to 15 percent; DBAG accounts for up to three percen\u00adtage points of this. The tran\u00adsac\u00adtion is expec\u00adted to close in the current quar\u00adter, subject to custo\u00admary regu\u00adla\u00adtory approvals.<\/p>\n
With the tran\u00adsac\u00adtion, DBAG reali\u00adzes proceeds from the sale that are signi\u00adfi\u00adcantly higher than the valua\u00adtion of the invest\u00adment in DBAG\u2019s most recent IFRS inte\u00adrim finan\u00adcial state\u00adments (March 31, 2021). The addi\u00adtio\u00adnal, unplan\u00adned value added amounts to around 26 million euros. The net asset value of the private equity invest\u00adments and the Group\u2019s net income increase by this amount.<\/p>\n
This value contri\u00adbu\u00adtion was not included in the fore\u00adcast for the net asset value of the private equity invest\u00adments as of Septem\u00adber 30, 2021 and the Group\u2019s earnings for fiscal 2020\/2021, which was last confirmed on May 12, 2021. DBAG had most recently expec\u00adted the net asset value of the private equity invest\u00adment to be between 450 and 505 million euros (before net inflows from the capi\u00adtal increase) as of Septem\u00adber 30, 2021, and conso\u00adli\u00adda\u00adted net income for fiscal 2020\/2021 to be between 70 and 80 million euros. DBAG is curr\u00adently prepa\u00adring its quar\u00adterly state\u00adment as of June 30, 2021. This will take into account the unplan\u00adned value contri\u00adbu\u00adtion from the tran\u00adsac\u00adtion. The two above-mentio\u00adned ratios may be influen\u00adced by further posi\u00adtive or nega\u00adtive effects from the valua\u00adtion of the remai\u00adning port\u00adfo\u00adlio compa\u00adnies as of the report\u00ading date of June 30, 2021 and by other findings in the course of prepa\u00adring the finan\u00adcial statements.<\/p>\n
First sale of the DBAG Fund VII portfolio<\/strong>
\nThe sale of the invest\u00adment in the blikk Group is the first sale of a manage\u00adment buy-out (MBO) from the DBAG Fund VII port\u00adfo\u00adlio. The fund had struc\u00adtu\u00adred ten MBOs between 2017 and 2021; the fund\u2019s invest\u00adment period has not yet ended. With DBAG Fund VII, DBAG imple\u00admen\u00adted the concept of a so-called top-up fund for the first time: It makes it possi\u00adble to invest up to 200 million euros of equity in indi\u00advi\u00addual tran\u00adsac\u00adtions, more than twice the amount other\u00adwise targe\u00adted. 105.7 million was inves\u00adted in the blikk Group, also using the top-up fund. 18.7 million of this amount is attri\u00adbu\u00adta\u00adble to DBAG, which so far holds a calcu\u00adla\u00adted share of around eleven percent in blikk.
