Bergamo\/ Frank\u00adfurt am Main \u2014 Deut\u00adsche Betei\u00adli\u00adgungs AG (DBAG) invests in MTW Holding SpA (\u201cMetal\u00adworks\u201d), a group of Italian manu\u00adfac\u00adtu\u00adr\u00aders of metal and plas\u00adtic access\u00adories for the luxury goods indus\u00adtry. Metal\u00adworks was foun\u00added by Bravo Capi\u00adtal Part\u00adners in 2016 and has evol\u00adved with a buy-and-build stra\u00adtegy and a successful realignment of its busi\u00adness stra\u00adtegy. In a manage\u00adment buy-out (MBO), DBAG Fund VIII, which is advi\u00adsed by DBAG, will acquire a majo\u00adrity stake in MTW Holding SpA. Luxem\u00adpart SA, a Luxem\u00adbourg-listed company and inves\u00adtor in Bravo Capi\u00adtal, and the manage\u00adment team will parti\u00adci\u00adpate as mino\u00adrity share\u00adhol\u00adders; the former owners and foun\u00adders of the company, who are curr\u00adently invol\u00adved in MTW Holding, will also become invol\u00adved again.<\/p>\n
DBAG Fund VIII will invest up to 60 million euros, of which 13 million euros are attri\u00adbu\u00adta\u00adble to DBAG. The fund will then hold around 62 percent of the shares in the holding company (DBAG: 14 percent). The closing of the purchase agree\u00adment is sche\u00addu\u00adled for the second quar\u00adter. The parties have agreed not to disc\u00adlose the purchase price.<\/p>\n
The current MBO is the seventh invest\u00adment of DBAG Fund VIII. The fund has been inves\u00adt\u00ading in medium-sized compa\u00adnies since mid-2020. Last year, DBAG foun\u00added the subsi\u00addiary DBAG Italia and opened an office in Milan. Led by Giovanni Revoltella, four local members of the DBAG invest\u00adment team now work there. With PM Flex (2020) and Itelyum (2021), the DBAG port\u00adfo\u00adlio so far includes two invest\u00adments in Italian companies.<\/p>\n
Under the umbrella of MTW Holding (www.mtwh.it\/en, based in Castelli Cale\u00adpio near Bergamo), three compa\u00adnies operate that comple\u00adment each other in terms of product range and custo\u00admer rela\u00adti\u00adons: Metal\u00adworks, Mengoni & Nassini and FGF. The group designs and produ\u00adces high-quality fashion access\u00adories for luxury fashion brands. Typi\u00adcal examp\u00adles are belt buck\u00adles, clasps or fittings for hand\u00adbags, shoes and clot\u00adhing, but also jewelry or emblems of the iconic brands, which are mainly repre\u00adsen\u00adted globally. These products are made of metals such as brass, zamak, stain\u00adless steel or plas\u00adtic. Crucial to the company\u2019s success is its ability to turn custo\u00admers\u2019 design ideas into a finis\u00adhed, high-quality product within a matter of days. Proxi\u00admity to high-end Italian and French fashion brands, for whom inno\u00adva\u00adtion and crea\u00adti\u00advity are parti\u00adcu\u00adlarly important, also plays a major role. At the same time, they expect a relia\u00adbly high quality of the parts that are proces\u00adsed in their products.<\/p>\n
The group employs 250 people at its sites near Bergamo and Florence; it also recently opened a branch in Paris to deepen rela\u00adti\u00adons with French luxury goods brands. The Group serves a market that has grown globally by an average of six percent over the past 25 years. 2021 sales were around 60 million euros, 16 percent more than in the pre-Corona year 2019. The market losses caused by the Corona crisis were thus offset within one year.<\/p>\n
